Terms of Use — BAS Buddy

These Terms of Use ("Terms") govern your access to and use of BAS Buddy, the cloud-hosted web application at https://basbuddy.com (the "Service").
The Service is operated by BAS Buddy ("we", "us", "our") as a software-as-a-service offering. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service does
BAS Buddy is a bookkeeping assistant for Australian small businesses and bookkeepers. When you connect a Google Drive account and choose folders to sync, the Service:
1. Reads receipt and invoice files (such as PDFs and images) from the Drive folders you connect — read-only;
2. Sends those files to third-party AI services to extract bookkeeping fields (vendor, ABN, invoice date, invoice number, total, GST, line items);
3. Lets you review, correct and manage the extracted data; and
4. Lets you export your data in CSV and Xero- or MYOB-compatible formats.
The Service is a data-extraction and preparation tool. It does not lodge BAS statements or tax returns, and it does not provide accounting, bookkeeping or tax advice (see section 6).
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate account information (name, email) and keep it current.
- You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately at team@basbuddy.com if you suspect unauthorised use.
- You are responsible for the Google Drive account you connect and for ensuring you have the right to grant the Service read-only access to the files in the folders you choose.
3. Google Drive access
Connecting Google Drive is optional but required for the Service to work. When you connect Drive, you grant BAS Buddy read-only access under the scopes `drive.readonly` and `drive.metadata.readonly`. This means:
- The Service can only read files and folder listings in the folders you choose to sync;
- The Service can never modify, move or delete anything in your Drive;
- You can disconnect at any time within the app, or revoke access entirely through Google's security settings at https://myaccount.google.com/permissions.
Your use of Google Drive remains subject to Google's own terms and privacy policy.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or to process documents you are not authorised to use;
- Upload or sync content that is unlawful, fraudulent, or infringes anyone's rights;
- Deliberately submit forged or falsified tax invoices in an attempt to obtain misleading bookkeeping records;
- Attempt to access other users' accounts or data, probe or disrupt the Service's security or availability, or circumvent rate limits;
- Resell, sublicense or provide the Service to third parties as a competing service without our written permission;
- Use automated tools to scrape the Service other than through the exports provided to you.
We may suspend or terminate accounts that violate these rules.
5. Your data and ownership
- Your content. You retain all ownership of the receipt files you sync and the data they contain. Nothing in these Terms transfers ownership of your content to us.
- Extraction results. The bookkeeping records the Service produces from your files belong to you, and you may export or delete them at any time.
- The Service. The BAS Buddy software, brand and interface remain the property of BAS Buddy. You receive a limited, non-exclusive, revocable licence to use the Service for its intended purpose.
- Privacy. Our handling of your personal information — including Google user data — is described in the Privacy Policy, which forms part of these Terms.
6. AI accuracy and no professional advice
Extracted data is generated by AI and may contain errors. Extraction accuracy depends on image quality, layout and language, and even high confidence scores do not guarantee correctness. You must review every extracted field before relying on it for bookkeeping, BAS preparation, tax or compliance purposes.
BAS Buddy does not provide accounting, bookkeeping, tax or legal advice, and nothing in the Service constitutes such advice. You remain solely responsible for the accuracy of your bookkeeping records, for the BAS statements you lodge, and for meeting your obligations to the Australian Taxation Office and any other authority. Always confirm GST amounts, ABNs and totals against the original documents.
7. Availability and changes
- We aim to keep the Service available but provide it on an "as is" and "as available" basis. Scheduled maintenance, third-party outages (including Google, AI providers and hosting providers) or other events may interrupt it.
- We may add, change or remove features, and may change providers (for example, the AI extraction provider) at any time, provided the Service continues to operate as described.
- Where changes are material to these Terms, we will update the effective date above and will try to give reasonable notice in the app or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
8. Plans, fees and payment
Access to the Service is offered through the plans, features and usage limits we publish from time to time within the Service or on our website (the "Plans"). We may offer free plans, free trials and paid subscriptions, and may change that mix at any time.
- Current access. Unless you are subscribed to a paid Plan, your access is free. We may modify, limit, or withdraw free access or free features at any time.
- Changes to Plans and prices. We may introduce, change or withdraw Plans, features, usage limits and prices at any time. If a change increases the price or reduces the features of a paid Plan you are subscribed to, it takes effect from your next billing cycle, and we will give you reasonable notice through the Service or by email first. If you do not accept the change, you may cancel before it takes effect.
- Paid subscriptions. If you subscribe to a paid Plan, you agree to pay the fees published for that Plan at the time you subscribe. Subscriptions renew automatically for successive billing periods unless you cancel before the renewal date, and you authorise us and our payment provider to charge your nominated payment method for each renewal period.
- Cancellation. You may cancel a paid Plan at any time through the Service or by contacting team@basbuddy.com. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid for the current billing period are non-refundable, except as required by law (including Australian Consumer Law guarantees) or where we decide otherwise.
- Non-payment. If a charge fails or an account becomes overdue, we may downgrade your account to a free plan, restrict features, or suspend access until payment is made.
- Taxes. Fees are quoted in Australian dollars and are inclusive or exclusive of GST as stated at the time of purchase. You are responsible for any taxes applicable to your use of the Service.
9. Disclaimers
To the maximum extent permitted by law, and except for the guarantees described in section 10, the Service is provided as is and as available, without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that extracted data will be accurate.
10. Australian consumer law and liability
Nothing in these Terms excludes, restricts or modifies any consumer guarantee under Schedule 2 of the *Competition and Consumer Act 2010* (Cth) (Australian Consumer Law) that applies to you, or any other right you have that cannot lawfully be excluded.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms is limited to the total fees you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim, or AUD $100 if no fees were paid in that period. We are not liable for indirect, incidental, special or consequential loss, including lost profits, lost data (other than as described in the Privacy Policy), or loss from incorrect tax or BAS lodgments, even if advised of the possibility.
You indemnify us against claims, losses and expenses arising from your breach of these Terms, your violation of law, or content you sync to the Service.
11. Termination
- By you. You may stop using the Service at any time, disconnect your Google Drive, and request deletion of your account and data by emailing team@basbuddy.com.
- By us. We may suspend or terminate your access if you breach these Terms, if continued operation would be unlawful, or if we discontinue the Service. Where reasonably possible, we will give you advance notice and a chance to export your data first.
- On termination, the licence to use the Service ends; sections 5 (ownership of your data), 6, 9, 10 and 12 survive.
12. General
- Governing law. These Terms are governed by the laws of South Australia, Australia, and you and we submit to the jurisdiction of the courts of South Australia, Australia.
- Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and us regarding the Service.
- Severability. If any provision is unenforceable, the remainder stays in force.
- No waiver. Our failure to enforce a provision is not a waiver of it.
